Badenoch & Clark - Legal Manager

Your Responsibilities 

  • Managing full spectre of legal tasks for the Company/Group

  • Negotiating, drafting and reviewing commercial agreements (English law), such as purchase/sales contracts, supply guarantees etc.(drafting addenda/amendments to the contracts, suggestions on improving the agreed terms)

  • Bilingual contracts with the Refinery (Russian-English)

  • Resolution of potential and actual legal and compliance disputes with trading partners with regard to the interpretation, implementation of the contractual commitments

  • Reviewing, advising and assisting from a legal perspective in the Demurrage and Claims

  • process

  • Ensuring compliance of the company with the undertaken contractual obligations towards the trading partners;

  • Negotiating, drafting and reviewing finance facilities and agreements under English law

  • Drafting resolutions for Annual Ordinary as well as Extraordinary meetings of the Shareholders and the board of the company

  • Monitoring major Swiss and EU regulations to ensure that the company is aware of new legal requirements

  • Active participation in the development and updating of the tax structure of the Group and mitigation of tax risks, regular communication with the external tax advisers

  • Facilitation of the legal translation of documents, emails, or any other legal based

  • communications (English/Russian)

  • Reviewing, advising and commenting on KYC clearances for prospective counterparties for the Group

  • Further improvement of the company’s contract templates and contracts Process

  • Involvement in and legal support for ad hoc and ongoing projects within the Group

Your Profile

  • Law degree, with specialization in Commercial Law, with sound knowledge of Corporate and Financial Law; LLM completed in the UK is a plus

  • Several years of solid international legal experience within metal trading, oil & gas, mining industry or similar

  • Excellent knowledge of English Law & Arbitration

  • Fluency in written and spoken English; very good knowledge of Russian is a great advantage

  • Profound understanding of trade operations and logistics

  • Business acumen to approach various commercial issues

  • High level of analytical and conceptual thinking to structure commercial proposals and translate them into appropriate legal concepts

  • Ability to work independently, following tight deadlines

  • Strong time management, prioritization, organizational skills and excellent negotiation
